1. Eligibility

3. Account Registration & Security

To access certain features, you must create an account.

You agree to:

• Provide accurate and complete registration information;
• Maintain the confidentiality of your login credentials;
• Immediately notify us of any unauthorized access;
• Accept full responsibility for all activities under your account.

The Company shall not be liable for losses resulting from unauthorized account use due to your failure to safeguard credentials.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms.

You shall not:

• Scrape, extract, copy, or redistribute market data or analytics outputs;
• Use bots, crawlers, or automated systems to access the Platform;
• Reverse engineer, decompile, or attempt to discover source code or algorithms;
• Circumvent security mechanisms;
• Use the Platform to engage in unlawful trading practices or market manipulation;
• Misrepresent Platform content as personalized financial advice.

We reserve the right to suspend or terminate accounts engaged in prohibited conduct.

5. Market Data & Third-Party Content

Market data displayed on the Platform is sourced from licensed third-party providers.

We do not guarantee:

• Accuracy;
• Completeness;
• Real-time availability;
• Continuity of data feeds.

Data may be delayed unless expressly stated otherwise.

6. AI & Algorithmic Disclaimer

The Platform uses automated models, algorithms, and artificial intelligence systems to generate signals and analytics.

You acknowledge that:

• Outputs are probabilistic in nature;
• Past performance does not guarantee future results;
• No guarantee of profitability is provided.

Use of signals is entirely at your own risk.

No fiduciary relationship is created between you and the Company.

7. Intellectual Property Rights

All content, software, algorithms, branding, charts, designs, text, graphics, and analytics are owned by the Company or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial use.

8. Subscription Plans & Payments

Certain features require a paid subscription.

By purchasing a subscription:

• You agree to pay all applicable fees as displayed at checkout;
• You authorize us to charge your selected payment method;

8.1 No Refund Policy

All payments are final and non-refundable unless otherwise required by law. We may, at our sole discretion, offer credits or extensions.

8.2 Auto-Renewal

Subscriptions may automatically renew unless canceled before the renewal date.

9. Account Suspension & Termination

We may suspend or terminate your access:

• If you violate these Terms;

• If required by law or regulatory authorities.

Termination does not relieve you of outstanding payment obligations.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

• Data inaccuracies or interruptions;
• Service downtime;
• Indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses arising from:

• Your misuse of the Platform;
• Violation of these Terms;
• Violation of applicable laws or third-party rights.

12. Modifications to the Platform

We reserve the right to:

• Modify or discontinue features;
• Change subscription pricing;
• Update these Terms at any time.

Continued use after updates constitutes acceptance of revised Terms.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Nepal.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
